Herein after referred to as "The Agent"
"The Vendor" and "The Agent" agree to the contract conditions which are detailed
below:
1. "The Agent" agrees to be an agent for "The Vendor" who is the owner of
[PropertyAddress]
and wishes to sell this property.
2. "The Agent" agrees to contact prospective customers who may want to
rent or buy this property from the "The Vendor" and to negotiate a mutually
agreeable price with any potential purchaser on behalf of "The Vendor".
3. "The Agent" agrees to support "The Vendor" in the sales process, and
to provide a standard "Sale and Purchase Agreement" and secure the signature of
"the buyer" on said document (where such document is deemed by "The Vendor" and
the purchaser as suitable).
4. If "The Vendor" can sell the property detailed above to a purchaser
introduced by "The Agent" for the price not less than [SalePrice] Baht (or such
price as shall be agreed by "The Vendor") then "The Vendor" agrees to pay
commission to "The Agent" in the sum of 3 percent of the gross sales price
(including any consideration for furniture or other items included in the sale),
such commission to be due and payable according to the following schedule;
4a. On the date of signing the ‘Sale and Purchase Agreement’ and receipt of deposit:
50 percent of the commission due, or 50 percent of the total deposit that the buyer
has paid (whichever is the lower) shall be paid to "The Agent", such payment to
be made in cash or by means of a Cashiers Cheque or a Bankers Draft.
4b. On the date that "The Vendor" receives the balance of the payment
from "The Buyer";
The full balance of the commission shall be paid to "The Agent", such payment to
be made in cash or by means of a Cashiers Cheque or a Bankers Draft.
5. Should "The Agent" sell the property at price higher than agreed in
this contract "The Vendor" agrees to pay such additional payment to "The Agent",
less a deduction for any additional tax or fees payable by "The Vendor" solely
as a result of such additional payment.
6. Should "The Buyer" fail to complete the purchase within the timescale
stipulated in the "Sale and Purchase Agreement" then any deposit already paid will
be forfeited and both "The Agent" and "The Vendor" will keep the deposits already received.
7. This contract will commence on [ContractStartDate] and continue until
[ContractEndDate].
If "The Agent" fails to find a purchaser to sign contracts with "The Vendor"
during this period this contract will be cancelled automatically without any
notice.
8. If "The Vendor" should break this contract and fail to sell this
property when "The Agent" has arranged a contract with a buyer at a price agreed
by "The Vendor", "The Vendor" agrees to pay the full commission as detailed
above in this contract except in case that this property has been seized by the
government or is the subject of a court order to prevent the sale of this
property in which is case it will not be deemed the fault of "The Vendor".
9. If the vendor should complete the sale or rental of the property to a
purchaser who was made aware of the availability of this property by "The Agent"
then the full commission is payable regardless of whether "The Agent" has managed
the signing of contracts or not, and such commission shall be calculated in the
same way as if the sale had been managed by "The Agent", including the provision
for additional commission under clause 4 above.
This contract is made in duplicate in the same words. Both "The Vendor" and "The
Agent" have studied and read this contract carefully and agree to the terms
herein.
So this contract is signed before witnesses on the date printed above.
